HOW TO REGISTER YOUR COMPANY IN NIGERIA

Then you need to register your business names with Corporate Affairs Commission  without the services of the legal practitioner, Chartered Accountant or Chartered Secretary.
It is very simple to register your company or business names in Nigeria without stress. 

Just follow the Simple Steps below.

What is business Registration? 
Business registration is the process of obtaining legal authorization to conduct business within your chosen jurisdiction.
This establishes your business as a legal entity. There are many advantages attached to business registration. 

Benefits Of Business Registration
The First Benefit Is that
Your company name will not be registered by someone else, for instance, the name of my company is Instant Solutions Nig LTD,  by the time someone else want register the same name I used, it will not be available for that person. 

Certificate of Incorporation
You will be issued certificate of incorporation by Corporate  Affairs  Commission (CAC) 

Good Reputation With Customers 
Customers have trust in a registered company because they believe they are dealing with a reputable organization.

Legal Liability Protection
A registered Company is protected under the constitution of Federal Republic of Nigeria. But If your business is not registered, your company cannot be legally considered and will not be protected under any grievance procedures. You would be personally held responsible for any thing that happened in your company. If it not registered. 

Access to Loans In The Banks
When your company is registered, accessing loan becomes very easy compare to personal loan application. So far you meet their Terms and conditions with the necessary supporting documents. 

Hiring Employees
A registered business has a legal right to offer employment to people and pay them salaries, wages, incentives, bonuses and other benefits.

Steps On How To Register Your Company (Private or Public) In Nigeria 

Step1 
Search for availability of name. 
>>>Walk in to any nearest Corporate Affairs Commission to obtain Business registration form to search for your intended/ proposed business name. 

  • Fill the form correctly in CAPITAL LETTER, it is not hard, just your name, your correct address and The Names you intends to register, mark in the categories -the type of company you want to register  (private or Public) 
  • You have two option, Option one is your first choice name, while option two is the alternative name should in case the first choice is not available.
  • Make a Photocopy of the filled form and Submit the duly completed statutory forms with two passport sized photographs attached to the form
  • Check in the next three to four days if your name is available. If not, you will have to repeat the process until you find a name that is available for you. 
  • Congratulations If your name is available.


Step2
Complete pre-registration form – CAC1.1 (Online option) or (Download and fill)
Proceed to Pay the necessary filing fee to CAC and Stamp duty fee to Federal Inlands Revenue Service (FIRS)

Step3
Scan and upload the necessary Signed copy of your pre-registration documents on the Website portal. 

  • Form CAC1.1
  • Memorandum and Article of Association (MEMART)
  • Proficiency certificate (where applicable)
  • Recognized form of identification for Director(s)/ Subscriber(s) and Secretary
  • Stamp duty certificate
  • Evidence of payment to CAC
Step4 
Submit the original copies of the documents uploaded on the portal (Form CAC1.1, MEMART, etc) to the CAC office you had selected in exchange for your certificate and the Certified True copies of the documents.
